Changes will be effective when posted on the Site with no other notice provided. Please check these Terms and Conditions regularly for updates. Your continued use of the Site following the posting of changes to these Terms and Conditions constitutes your acceptance of those changes.

Use of the Site

Both parties agree that this website may only be used in accordance with these Terms and Conditions of Use. If you do not agree with the Terms and Conditions of Use or do not wish to be bound by them, you agree to refrain from using this website. We grant you a non-transferable, revocable and non-exclusive license to use this Site, in accordance with the Terms and Conditions of Use, for such things as: shopping for personal items sold on the site, gathering prior information regarding our products and services and making purchases. Commercial use or use on behalf of any third party is prohibited, except as explicitly permitted by us in advance. These Terms and Conditions of Use specifically prohibit actions such as: accessing our servers or internal computer systems, interfering in any way with the functionality of this website, gathering or altering any underlying software code, infringing any intellectual property rights. Information Provided to Us

Subject to the Privacy Policy, any and all information, data, sound, photographs, videos, and works of authorship that you provide to us, including all comments and suggestions (collectively “Visitor Generated Content”), you grant us a non-exclusive, transferable, assignable, sublicenseable, perpetual, irrevocable, worldwide, royalty-free, and fully paid-up license to use, possess, copy, distribute, sell, sublicense, disclose, display publicly, perform, modify, make, have made, import, export, and prepare derivative works of such Visitor Generated Content through multiple tiers of distribution in any and all media now known or hereafter invented.

In addition to the rights applicable to any Submission, when you post comments or reviews to the Site, you also grant us the right to use the name that you submit, in connection with such review, questions, or other content. By completing an order or signing up, you agree to receive a) emails associated with finalizing your order, which may contain relevant offers from third parties, and b) emails asking you to review FarmGreat and your purchase and c) promotional emails, SMS and push notifications from FarmGreat. No compensation will be paid with respect to the use of your Visitor Generated Content, as provided herein. We are under no obligation to post or use any Visitor Generated Content you may provide and may remove any Visitor Generated Content at any time in our sole discretion. By posting, uploading, inputting, providing, or submitting your Visitor Generated Content, you represent and warrant that you own or otherwise control all of the rights to your Visitor Generated Content as described in this section including, but not limited to, all the rights necessary for you to provide, post, upload, input, or submit the Visitor Generated Content.

Any unauthorised use of the material and content of this website is strictly prohibited and you agree not to, or facilitate any third party to, copy, reproduce, transmit, publish, display, distribute, commercially exploit or create derivative works of such material and content.

Indemnity

You agree to indemnify and hold us, our affiliates, Associates, officers, directors, agents and/or employees, as the case may be, free from any claim or demand, including reasonable legal fees, related to your breach of these Terms of Use and User Agreement. Applicable Law and Jurisdiction These Terms and Conditions of Use shall be interpreted and governed by the laws in force in the Federal Republic of Nigeria. Subject to the Arbitration section below, each party hereby agrees to submit to the jurisdiction of the courts in Abia State of Nigeria and to waive any objections based upon venue.

NO SPAMMING

There are hundreds of ways to build your FarmGreat business without resorting to spamming. As outlined below. FarmGreat maintains a ZERO tolerance policy towards the sending of SPAM, including, but not limited to, unsolicited commercial E-mail (UCE). This action is grounds for immediate termination from the FarmGreat and possible forfeiture of any pending commissions and benefits. You may also be subject to legal action and held liable for any financial loss incurred by FarmGreat. Spamming is also punishable in some states by fines of as much as $25,000.

Spamming continues to be a serious problem on the Web. FarmGreat rigorously opposes the practice of spamming and is committed to doing our part to eliminate spam.

We want all of our associates to know that you will always receive fair treatment from us if we receive a complaint. Indeed, our experience is that many complaints are due to misunderstanding and are often not valid spam complaints. HOWEVER, that said, if we feel the complaint against you IS valid and you cannot show clear evidence to the contrary, we will not hesitate to suspend or terminate your FarmGreat associate status. This is also to protect YOU! The entire FarmGreat business model is threatened when spamming is done. So we must be aggressive in our policing of our associates.

NO CROSS-SOLICITING

Soliciting FarmGreat associates for other business opportunities is strictly prohibited.

If you wish to be involved with other network marketing companies or business opportunities, thats fine; we have no problem with that at all. Just dont use any FarmGreat communication program or tool (including, but not limited to, PSA (Personally Sponsored Associates) and CSA (Co-Sponsored Associates) group mailers, m2m, TeamMail, etc.) to promote to other FarmGreat Associates about these outside businesses or for-profit endeavors. For FarmGreat purposes, Cross Soliciting also includes inviting your m2m friends or other FarmGreat Associates to participate or share an idea on any other business opportunity outside FarmGreat business. This is absolutely not acceptable.

When you cross-solicit other FarmGreat Associates, you are betraying EVERYONE in your entire group who is focused on the FarmGreat system! Its unprofessional and its unethical. If you are caught cross-soliciting your FarmGreat upline or downline associates, your FarmGreat account will be terminated, and you will lose all your FarmGreat benefits, including any unpaid and future commissions. And please know, someone almost always blows the whistle—we even provide a form to do so. Note: these rules and policies are no respecter of persons or rank in FarmGreat business. So, please dont cross-solicit!

NO CROSS-LINING

Soliciting FarmGreat associates from other organizations to re-join under you is strictly prohibited.

FarmGreat is a very large, global organization, with associates located in virtually every country in the world. Hence, you may encounter fellow associates all over the Internet and even interact with them on social media sites, like Facebook, Twitter, etc. Interaction, sharing FarmGreat business ideas, etc., is allowed and even encouraged. HOWEVER, under no circumstances may you request or encourage an FarmGreat Associate from another associates organization to create another account/ register as an FarmGreat Associate under you. FarmGreat reserves the right to assess each situation on an individual basis.

NO AUTORESPONDERS

The FarmGreat system is built around an extensive e-mail communication system. Therefore, do not use an e-mail address that uses an auto-response (automatic reply) message. Thousands of our associates receive dozens of e-mail messages and notifications from us each week. If auto-responders are on, that means we GET BACK THOUSANDS of useless messages that we then must wade through one by one so that we dont miss the legitimate messages with your important questions, suggestions, etc. Its also a huge waste of bandwidth.

So, if you have an auto-responder on your e-mail, you must either SHUT IT OFF, or provide us with a different, separate e-mail address through support ticket, and follow all verification exercise to ensure your new email address is implemented by admin, which you’ll use for FarmGreat communiques. If this is not done, your FarmGreat associateship will be cancelled.

UNAUTHORIZED REGISTRATIONS

Registering new associates without their consent is strictly forbidden and is grounds for suspension or termination of your account. See the FarmGreat Associate Agreement for more details.

ADVERTISING

You must use FarmGreat-approved ads for sponsoring new Associates. Note that you can use the text ads, or you can use wording from any of the banners.

If you are a Team Leader, you may submit your own ads for our approval. They must be approved, however, before you can publish them.

If youre writing a new ad, here are a couple of tips:

* Avoid ANYTHING that sounds like a guarantee of income.

* Yes, the FarmGreat system takes a huge amount of the "grunt work" out of building a sales organization, but please dont suggest that "we

do all the work." In FarmGreats opinion, this kind of offer attracts lazy, unmotivated people—exactly the opposite of what you want. Often, ads that say "no work involved, they do everything," are dismissed without so much as a two-second look; most really good business-builders probably react the same way. Theres no such thing as a free lunch, and intelligent people know that.

Miscellaneous Provisions

You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. Assigning or sub-contracting any of your rights or obligations under these Terms and Conditions of Sale to any third party is prohibited unless agreed upon in writing by the seller. We reserve the right to transfer, assign or sub-contract the benefit of the whole or part of any rights or obligations under these Terms and Conditions of Sale to any third party.

Severability

If any portion of these terms or conditions is held by any court or tribunal to be invalid or unenforceable, either in whole or in part, then that part shall be severed from these Terms and Conditions of Use and shall not affect the validity or enforceability of any other section listed in this document.

Notice of Copyright Infringement

Where you believe that your intellectual property has been infringed upon on our website, please notify us by email it to (insert physical address and email address for copyright complaints). We expeditiously respond to all concerns regarding copyright infringements. We request that you provide the following information along with your complaint:

● A physical or electronic signature of the person authorized to act on behalf of the owner of the copyrighted work for the purposes of the complaint.

● A proper description of the copyrighted work claimed to have been infringed.

● A description of the location of the infringing material on our Website.

● The address, telephone number or e-mail address of the complaining party.

● A statement made by the complaining party that he has a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent or by law.

● A statement deposed to under oath, that the information in the notice of copyright infringement is accurate, and that the complaining party is authorized to act on behalf of the copyright owner. Please note that this procedure is exclusively for notifying FarmGreat that your copyrighted material has been infringed.

Termination

In addition to any other legal or equitable remedies, we may, without prior notice to you, immediately terminate the Terms and Conditions of Use or revoke any or all of your rights granted under the Terms and Conditions of Use. Upon any termination of this Agreement, you shall immediately cease all access to and use of the Site and we shall, in addition to any other legal or equitable remedies, immediately revoke all password(s) and account identification issued to you and deny your access to and use of this Site in whole or in part. Any termination of this agreement shall affect the respective rights and obligations (including without limitation, payment obligations) of the parties arising before the date of termination. You furthermore agree that the Site shall not be liable to you or to any other person as a result of any such suspension or termination. If you are dissatisfied with the Site or with any terms, conditions, rules, policies, guidelines, or practices of FarmGreat West Africa LLC. in operating the Site, your sole and exclusive remedy is to send account cuncilation request e-mail to admin@formgreat.org and discontinue using the Site.

Arbitration

Any controversy, claim or dispute arising out of or relating to these Terms and Conditions of Use will be referred to and finally settled by private and confidential binding arbitration before a single arbitrator held in Abia State of Nigeria in English and governed by Nigeria law pursuant to the Arbitration and Conciliation Act Cap A18 Laws of the Federation of Nigeria 2004, as amended, replaced or re-enacted from time to time. The arbitrator shall be a person who is legally trained and who has experience in the information technology field in Nigeria and is independent of either party. Notwithstanding the foregoing, the Site reserves the right to pursue the protection of intellectual property rights and confidential information through injunctive or other equitable relief through the courts.
